The Company was originally incorporated as ÂShradha Realty Private LimitedÂ on September 29, 1997 under the Companies Act, 1956 with the Registrar of Companies, Mumbai at Maharashtra bearing Registration No. 110971. The name of the Company was changed to ÂShradha Infraprojects (Nagpur) Private LimitedÂ on July 18, 2005 vide a fresh certificate of incorporation issued by the Registrar of Companies, Mumbai at Maharashtra. Subsequently, the status of the Company was changed to a public limited company and the name of the Company was changed to ÂShradha Infraprojects (Nagpur) LimitedÂ by a special resolution passed on August 21, 2017. A fresh Certificate of Incorporation consequent upon conversion was issued on September 08, 2017 by the Registrar of Companies, Mumbai at Maharashtra. the CompanyÂs Corporate Identification Number is U45200MH1997PLC110971.

We are a real estate development company, engaged in the business of development and sale of residential as well as commercial properties (the ÂDevelopment BusinessÂ) and the development and leasing of commercial properties (the ÂLease BusinessÂ)as we believe this provides us with stable cash flows. We are primarily operating in Nagpur focused on premium developments with presence in residential, Commercial and hospitality in mixed-use and single-segment developments.

The Development Business spans all activities related to residential real estate development, from the identification and acquisition of land through to the planning, execution and sales of the development projects. the residential properties include plotted developments, houses and apartments of varying sizes. the Development Business also consists of the development and sale of certain commercial properties including those that are integral to the residential developments they are attached to.

The Lease Business involves leasing of the commercial properties. the commercial properties include corporate offices and educational institutions.

We use a knowledge-based approach from internal and external stheces in making land acquisition, development and lease/sales decisions. We utilise an outsthecing model that emphasises quality design and construction. We work with reputable domestic architects and contractors. We believe that this outsthecing model provides us with the scalability required to undertake large developments and this joint venture model enables us to focus on the core area of operations.

At the end of the FY 2016-17, we have acquired 51.00% stake in Mrugnayani Infrastructures Private Limited, making it as the Subsidiary Company. the Subsidiary Company was incorporated on April 03, 2008 and is involved in the business of complete construction and parts thereof. the Subsidiary Company has completed a project ÂShradha BusiplexÂ at Hinganghat, Wardha. We expect to achieve benefits in form of capital appreciation from these investments, improvement in the financial results (as per ÂSubsidiary AccountingÂ) as well as future synergies if any.

Further by making an additional investment in Suntech Infraestate Nagpur Private Limited through the object of the issue, it will become a Subsidiary Company and hence we would be able to consolidate its financial statements as per applicable accounting standards.

We operate from the Registered Office located at Shradha House, Near Shri Mohini Complex, Kingsway, Block No F/8, Nagpur,Â 440001, Maharashtra.

The revenue from operations, on a consolidated basiswasM4,041.19 and M2,716.42 lakhs in FY 2016-17and FY 2015-16, respectively. the EBITDA, on a consolidated basis was M542.47 lakhs and M1,219.22 lakhs in FY 2016-17 and FY 2015-16, respectively. the profit for the period, on a consolidated basis, was M 467.08lakhs and M871.03 lakhs in FY 2016-17 and FY 2015-16, respectively.
