Basic earnings per share is computed by dividing net profit or loss for the period attributable to equity shareholders by the weighted average number of shares outstanding during the year. Diluted earnings per share amounts are computed after adjusting the effects of all dilutive potential equity shares. The number of shares used in computing diluted earnings per share comprises the weighted average number of shares considered for deriving basic earnings per share, and also the weighted average number of equity shares, which could have been issued on the conversion of all dilutive potential shares. In computing dilutive earnings per share, only potential equity shares that are dilutive and that decrease profit per share are included.
Cash flows are reported using the indirect method, whereby profit before tax is adjusted for the effects of transactions of a non-cash nature and any deferrals or accruals of past or future cash receipts or payments. The cash flows from regular revenue generating, financing and investing activities of the Company are segregated.
As required by Ind AS19, Provident fund and gratuity are defined contribution scheme and the contributions made are charged to profit & loss account. Leave encashment liability is a defined benefit obligation and is provided for on the basis of actuarial valuation done using projected unit credit method at the end of the financial year.
The liability or asset recognized in the balance sheet in respect of defined benefit gratuity plans is the present value
of the defined benefit obligation at the end of the reporting period less the fair value of plan assets. Management estimates the defined benefit obligation annually with the assistance of independent actuaries. This is based on standard rates of inflation, salary growth rate and mortality. Discount factors are determined close to each year-end by reference to high quality corporate bonds that are denominated in the currency in which the benefits will be paid and that have terms to maturity approximating the terms of the related gratuity liability. Actuarial gains and losses arising from past experience and changes in actuarial assumptions are credited or charged to the statement of profit and loss in the year in which such gains or losses are determined.
Operating segments are defined as components of an enterprise for which discrete financial information is available that is evaluated regularly by the Chief Operating Decision Maker (âCODM''), in deciding how to allocate resources and in assessing performance.
Operating segments are identified based on the internal organization at the financial reporting date. The Management has identified the business segments as reportable segments, which comprise:
1) Real Estate Division (Revenue received from Sale of Plots, Lease of Building, Plant & Machinery)
2) Investment Division (Revenue received from Interest and Profits from Investment in Securities)
With the stagnation of the operations of welding division and its revenues being of the similar nature with real estate division, separate disclosure of âWelding'' division has been discontinued during the current period and disclosed as a combined segment with âReal Estate'' Segment. Following the change in the composition of the reportable segment, the company has restated the corresponding amounts. Revenues and expenses directly attributable to the segments are reported under each reportable segment. The accounting principles used in the preparation of the segment information are consistently applied to record revenue and expenditure in individual business segments
The Company does not have geographical distribution of revenue; hence secondary segmental reporting is not applicable to the company.
Segmental Revenue includes Rs. 49,173 (Previous Year 35,662) and Rs. 10,25,821 (Previous Year 40,39,281) as interest income for each of the divisions i.e. Real estate Division and Investment division respectively .
Segmental Expenses includes Rs. 69,962 (Previous Year 1,58,965) and Rs. 54,26,485 (Previous Year 28,45,364) as interest expense for each of the divisions i.e. Real estate Division and Investment division respectively .
Segmental Expenses includes Rs. 30,70,824 (Previous Year 34,31,488) and Rs. 15,17,724 (Previous Year 83,313) as depreciation expense for each of the divisions i.e. Real estate Division and Investment division respectively.
39. (a) No funds have been advanced or loaned or invested (either from borrowed funds or share premium or any
other sources or kind of funds) by the company to or in any other person(s) or entity(ies), including foreign entities (âIntermediariesâ), with the understanding, whether recorded in writing or otherwise, that the Intermediary shall, whether, directly or indirectly lend or invest in other persons or entities identified in any manner whatsoever by or on behalf of the company (âUltimate Beneficiariesâ) or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries.
(b) No funds have been received by the company from any person(s) or entity(ies), including foreign entities (âFunding Partiesâ), with the understanding, whether recorded in writing or otherwise, that the company shall, whether, directly or indirectly, lend or invest in other persons or entities identified in any manner whatsoever by or on behalf of the Funding Party (âUltimate Beneficiariesâ) or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries.
40. The Company has not been declared as willful defaulter by any bank or financial Institution or other lender.
41. During the year, the company has not entered into transactions with companies struck off under section 248 of the Companies Act, 2013 or section 560 of Companies Act, 1956.
42. The Company has not number of layers prescribed under clause (87) of section 2 of the Act read with Companies (Restriction on number of Layers) Rules, 2017.
Carrying amounts of Loans, Trade Receivables, Cash and Cash Equivalents, Other Financial assets, Borrowings, Trade Payables and Other Financial Liabilities approximate the fair value.
The Fair Value Hierarchy is based on inputs to valuation techniques that are used to measure fair value that are either observable or unobservable and consist of the following three levels:
Level 1- Inputs are quoted prices (unadjusted) in active markets for identical assets and liabilities.
Level 2- Inputs are other than quoted prices included in Level 1 that are observable for assets or liabilities, either directly or indirectly.
Level 3- Inputs are not based on observable market data (unobservable inputs).
The financial instruments included in level 3 of Fair Value Hierarchy, i.e. Fair Value of Investment in Unquoted Equity Shares is determined based on the Net Asset Value of the Investee Company as on the Balance Sheet Date.
The company has not imported or exported any raw materials and spare parts during the financial year.
51. In the opinion of the Board, the current assets, loans and advances have a value on realization on the ordinary course of business, at least equal to the amount at which the same is stated in the Balance Sheet. There are no contingent liabilities.
52. The financial statements were approved for issue by the board of Directors on 29th May,2024.
The Company has formulated CSR committee and has set responsibility thereon to plan for expenditures on CSR as per the applicable provisions of the Companies Act, 2013. The company has incurred an amount of Rs. INR 11,75,000/- for Corporate Social Responsibility for F.Y. 2023-24, at the rate of 2% of the average adjusted Net Profit for the previous three years. S. Cash Flows

Equity Shares

During the Year Ended 31st March 2023 the amount per share dividend recognized as distributions to equity shareholders was Rs. NIL( For 31st March 2022 was Rs NIL).
In the event of liquidation of the Company, the holders of equity shares will be entitled to receive any of the remaining assets of the company, after distribution of all preferential amounts. The distribution will be in proportion to the number of equity shares held by the shareholders.

Effective April 1,2019, the Company adopted Ind AS 116 âLeasesâ and applied the standard to all lease contracts existing on April 1,2019 prospectively, with the cumulative effect of applying the Standard, recognized on the date of initial application (April 1,2019).
Initially, the Company recorded the lease liability at the present value of the lease payments discounted at the incremental borrowing rate and the right of use asset at its carrying amount as if the standard had been applied since the commencement date of the lease, but discounted at the Company''s incremental borrowing rate at the date of initial application.
During the financial year, the company has terminated the lease agreement made towards the lease hold land and converts the land into free hold property through acquisition. The company derecognized the lease liability and Right of Use assets during the financial year and the differential arising out from de-recognizing lease liability against Right of Use assets has been taken in Profit & Loss account.
The company has terminated lease of land situated at MR-10 Indore and converted the same into freehold property on 23.02.2023. Thus, resulting in derecognizing a right-of-use asset (including Land) and corresponding lease liability. In the profit and loss account for the current period, the nature of expenses in respect of operating leases and depreciation cost for the right-to-use asset has been recognized. Accordingly, during the year ended March 31, 2023, Rs. 0.60 Lakhs has been accounted as Finance Cost and Rs. 0.26Lakhs as Depreciation.
The following is the summary of practical expedients elected on initial application
1. Applied a single discount rate to a portfolio of leases of similar assets in similar economic environment with a similar end date.
2. Applied the exemption not to recognize right-of-use assets and liabilities for leases with less than 12 months of lease term on the date of initial application.
3. Excluded the initial direct costs from the measurement of the right-of-use asset at the date of initial application.

contribution scheme and the contributions made are charged to profit &
loss account. Leave encashment liability is a defined benefit

business, at least equal to the amount at which the same is stated in

those stated above.

commenced its business operation on 5th October 1994. The Company is
presently doing the business of operating lease of Welding Electrodes,
Real estate & Investment business. However the company has discontinued
the business of Soya.

However the building & Other assets are being used by the other
divisions of the company. In view of the above the company has impaired
the assets of this division in 2012-13 also and booked a loss of Rs.
36,40,853/- considering the realizable value of Plant. Again the
company got further valuation of the remaining Plant & Machinery which
were lying as on 31.03.2014 and provided further impairment loss of Rs.
25,54,373 in this year.
(b) Certain Plant & Machinery of Soya Division retired from the Active
use of the business and the company has decided to sell out the same
have been stated as "Assets held for disposal" and shown under "Other
Current Assets"
9. Assets held for disposal includes certain part of Assets that are
lying with third Parties on our behalf.
10. In the opinion of the Board, the current assets, loans and advances
have a value on realization on the ordinary course of business, at
least equal to the amount at which the same is stated in the Balance
Sheet. There are no contingent liabilities other than those stated
above.
11. The Company has reclassified and regrouped the Previous Year
Figures to confirm the current classification.

2 LEASES
The company has not taken so far any asset on finance lease during the
year. In respect of operating lease of office premises the leasing
arrangements which are not non cancelable range between 11 months and
39 months generally or longer and are usually renewable by mutual
consent on mutually agreeable terms. The aggregate of lease rental
payable are charged as rent under the head office and administrative
expenses Rs.4,88,412 (Previous Year Rs.4,97,824) has been charged to
revenue accordance with the terms and conditions of respective lease
agreement.
3. Processing Charges Income includes commitment charges received on
account of non execution of contract and also netting of Commitment
charges paid during the year.
4. In the opinion of the Board, the current assets, loans and
advances have a value on realization on the ordinary course of
business, at least equal to the amount at which the same is stated in
the Balance Sheet. There are no contingent liabilities other than
those stated above.
5. The Company has reclassified and regrouped the Previous Year

obligation and is provided for on the basis of actuarial valuation done
using projected unit credit method at the end of the financial year.
Defined Benefit Plans/ Long Term Compensated Absence as per Actuarial
Valuation on 31st March 2012.

year. In respect of operating lease of office premises the leasing
arrangements which are not non cancelable range between 11 months and
39 months generally or longer and are usually renewable by mutual
consent on mutually agreeable terms. The aggregate of lease rental
payable are charged as rent under the head "office and administrative
expenses Rs.4,97,824 (Previous Year Rs.4,82,508) has been charged to
revenue accordance with the terms and conditions of respective lease
agreement.

8. MICRO SMALL & MEDIUM ENTERPRISES:
Under, the Micro, Small and Medium Enterprises Development Act, 2006,
(MSMED) which came into force from 2nd October 2006, certain

Enterprises. Accordingly, the disclosure in respect of the amounts
payable to such enterprises as at 31st March 2010 has been made in the
financial statements based on information received and available with
the Company. Further in the view of the management, the impact of
interest, if any, that may be payable in accordance with the provisions
of the Act is not expected to be material.
9. The Company has made Reserve of Rs.2,10,00,000/- (Previous Year Rs.
1,05,00,000/-) towards redemption of 9% Cumulative Redeemable
preference Shares of Rs.100/- each, during the year as per the
Resolution approved by Board of Directors out of current year profits.
