Our Company was originally incorporated as Odisha Cement Limited on July 12, 2013 under the Companies Act, 1956 with the Registrar of Companies, Odissa. The Company received Certificate of Commencement of Business from the Registrar of Companies, Orissa on September 12, 2013. The registered office of Company was shifted from State of Orissa to State of Tamil Nadu on September 02, 2016. The Corporate Identification Number of our Company is U14200TN2013PLC112346.

-Dalmia Bharat Limited has informed the Exchange about Commencement of commercial production/operations. We are pleased to inform you that today, i.e. on March 15, 2025, Dalmia Cement (North East) Limited, a material subsidiary of the Company, has successfully commenced commercial production of its 2.4 MTPA Increased Cement Grinding Capacity at Lanka, Distt. Hojai, Assam.
-Dalmia Bharat said that the Hon'ble National Company Law Tribunal (NCLT), Guwahati Bench, has approved the Scheme of Arrangement between Dalmia Cement (North East) Limited and Vinay Cement Limited, both subsidiaries of Dalmia Bharat Limited.
As per the order dated February 21, 2025, the scheme involves the demerger and transfer of the cement and mining business operations of Vinay Cement Limited (Transferor Company) to Dalmia Cement (North East) Limited (Transferee Company), effective from the Appointed Date of March 31, 2023. The arrangement has been approved under Sections 230 to 232 of the Companies Act, 2013.
Dalmia Bharat Limited clarified that it is not directly involved in the scheme and no shares are being issued to or by the company as part of the process. Both entities will continue to operate as subsidiaries of Dalmia Bharat post-implementation of the arrangement.
The certified copy of the NCLT order was received by Dalmia Cement (North East) Limited on March 12, 2025, and subsequently communicated to Dalmia Bharat Limited at 4:45 PM the same day.
The scheme will take effect once all legal formalities, including the filing of the certified order with the Registrar of Companies (ROC), Guwahati, are completed.
