This Defence Stock Converts Over 1.21 Cr Warrants Into Shares; Promoters Lead Massive Warrant Conversion
Apollo Micro Systems Limited has announced that its Securities Allotment Committee has approved the allotment of 1,21,47,964 equity shares of face value Re.1 each on 26 November 2025, following the exercise of warrants issued earlier on a preferential basis.

This allotment is in accordance with 3,80,67,058 warrants issued by the firm on June 2, 2025, each of which is convertible into one equity share. Six investors-promoter group members Mr. Baddam Kanishka Reddy, Mr. Baddam Chanakya Reddy, Whole-Time Director Mr. Addepalli Krishna Sai Kumar, and non-promoter investors Mr. Anudeep Adiraju, Mr. Sandeep Kapadia, and Mr. Piyush Bhupendra Gala-completed the conversion after the company received a total warrant exercise amount of Rs 103.86 crore and properly signed applications.
The company's paid-up capital, which consists of 35,43,91,700 equity shares, has grown to Rs 35.43 crore as a result of this conversion. The newly allotted shares will rank pari passu with existing shares.
The company has confirmed that 2,08,59,246 of the 3,80,67,058 warrants have been converted to date in accordance with SEBI disclosure rules. Unexercised warrants are subject to expiry after 13 months from the date of original allotment.
Meanwhile, Apollo Micro Systems Limited has notified the exchanges that, in accordance with Section 441 of the Companies Act, 2013, it has obtained a compounding order from the Regional Director (South East Region), Hyderabad. The company had previously submitted an application for the compounding of a Section 148(6) violation relative to the failure to file the cost audit report (Form CRA-4) by the deadline. On August 28, 2025, the officers who were in default were required by the Regional Director to pay the relevant compounding costs.
On November 26, 2025, the corporation officially received the compounding order, which was dated November 14, 2025. Importantly, the corporation made it clear that the order had no effect on its operations or finances.
Apollo Micro Systems Limited (AMS), a prominent defense and aerospace technology company, has announced the signing of a Joint Development Memorandum of Understanding (MoU) with the Indian Navy, which is led by the Directorate General of Naval Armament Inspection (DGNAI), and the Indian Institute of Technology, Chennai (IIT-Chennai).

According to AMS, the successful completion of projects under this Memorandum of Understanding will substantially assist in the Ministry of Defence's goal of achieving self-reliance in critical defense technologies, consequently strengthening India's standing as a hub for defense manufacturing. The collaboration is focused on addressing and solving current and future problem statements of the Armed Forces through indigenous research and development (R&D).
Apollo Micro Systems Limited has announced that it has secured a Defence Manufacturing License from the Department for Promotion of Industry and Internal Trade (DPIIT), Government of India, enabling the company to produce a wide variety of defence-grade equipment at its Hyderabad site. Unmanned aerial systems (UAS), unmanned helicopters under the Defense Aircraft category, and sophisticated Allied Defense Equipment including Inertial Navigation Systems (INS) and full radar equipment with all essential subsystems, are all covered under this approval.
This license, valid for 15 years, is an important requirement for the company's present and potential defense manufacturing prospects with the Ministry of Defence. Within the next two quarters, Apollo Micro Systems is anticipated to begin field testing a number of UAS platforms, logistics and delivery UAV systems, and offensive unmanned systems. Additionally, the company is continuing on MEMS, FOG, and RLG-based navigation systems while partnering with domestic and foreign partners to expedite the advancement of technology. This certification greatly enhances the company's strategic standing in India's expanding defense ecosystem, since procurement for necessary test and calibration equipment is now ongoing.
