Not Only 1:10 Stock Split But Also 1:10 Bonus Issue: Penny Stock Sets Record Date; Buy?

The BSE-listed small-cap pharmaceutical company Welcure Drugs & Pharmaceuticals Ltd. has announced the record date for bonus shares and stock split. Following the announcement, Welcure Drugs & Pharmaceuticals' stock gained 5% from its previous close before closing at an upper circuit limit of Rs 7.31 per share on Thursday, October 9. The company's market capitalization surpassed Rs 82 Cr.

"Pursuant to Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, we would like to inform you that the Company has fixed Thursday, October 16, 2025 as the Record Date, for the purpose of ascertaining the eligibility of the shareholders entitled for the following matters in accordance with the approval of shareholders obtained through Annual General Meeting held on Saturday, 27th September, 2025. 1. Sub-division of 1 (one) Equity share of face value of Rs. 10/- each fully paid-up to 10 (ten) Equity shares of face value of Rs. 1/- each fully paid-up. 2. Issue of 1 (One) Bonus Share for every 10 (Ten) Equity Shares held by the Equity Shareholders of the Company," said Welcure Drugs in a stock exchange filing.

Welcure Drugs Bonus Issue Details

At its August 22, 2025, meeting, the Board of Directors recommended issuing bonus shares, subject to shareholder approval, in the ratio of 1:10, meaning that for every 10 fully paid-up equity shares of the company held by shareholders on record date, there shall be one new equity share of Rs. 10/-each, capitalized by Rs. 11,23,58,200 from the free Reserves.

It has been proposed that 1,12,35,820 bonus equity shares of Rs. 10 each be issued as bonus shares in order to fully implement the same. The company's paid-up equity share capital will rise to Rs. 1,23,59,40,200 as a result, with 12,35,94,020 equity shares at Rs. 10 apiece.

"The Equity shares of your Company are listed and traded on the Bombay Stock Exchange of India Limited ("BSE") and with a view to enhance the liquidity in the capital market, to widen shareholder base and to make the shares affordable/ accessible to small/ retail in the Stock Market, the Board of Directors has considered and approved the sub-division (stock split) of one equity share of the Company having a face value of Rs. 10.00 each into 10 (Ten) equity shares of face value of Re. 1.00 (One) each subject to approval of the members and any other statutory & regulatory approvals, as may be applicable. The proposed sub-division (stock split) of shares will not have any effect/result on the voting percentage/rights of any shareholders of the Company," said Welcure Drugs in its FY25 annual report.

Welcure Drugs Target Price

"Welcure Drugs stock price is bullish on the Daily charts with strong support at 6.97. A daily close above resistance of 7.96 could lead to a target of 10.52 in the near term," commented A R Ramachandran, Independent SEBI registered Research Analyst.
