NBFC Stock To Watch: SBI-Life Insurance Owned Stock Approves Rs 75 Cr NCD Issue Via 2 Tranches
Following its October 30, 2025, Operations and Finance Committee meeting, Paisalo Digital Limited stated that it has approved the issue of two tranches of unsecured Non-Convertible Debentures (NCDs) through private placement on the EBP platform. With a base issue of Rs 25 crore and a green shoe option of Rs 50 crore, the NBFC corporation will issue up to 7,500 NCDs for Rs 1 lakh each, totalling up to Rs 75 crore.

The coupon rate for the first series of NCDs is 8.45% annually for a two-year term, while the coupon rate for the second series is 8.50% annually for a three-year term.
Annual coupon payments will be made for both series, which will be redeemed at par once they mature. These debentures are scheduled to be listed on BSE Limited, with a tentative allotment date of November 6, 2025. Due to the unsecured nature of the NCDs, any payment delays will result in an additional 2% annual interest rate over and above the coupon rate.
The company has clarified that there are no special rights or privileges attached to these instruments, and no comments or letters have been received regarding payment concerns. The firm has declared that the Board of Directors' Operations and Finance Committee will meet on November 6, 2025, to discuss and authorize the allotment of non-convertible debentures through private placement.
On the other hand, Paisalo Digital Limited's Board of Directors will meet on Monday, November 10, 2025, to declare the company's standalone and consolidated financial results for the quarter that ended on September 30, 2025.

With a 14% rise in Assets Under Management (AUM) and a broadening of its co-lending agreement with SBI to the MSME category, the company's financial results for Q1 FY2026 demonstrate robust development.
It is backed by institutional investors like SBI Life Insurance with a stake of 6.83, comprising a shareholding of 6,21,14,267 shares during Q2FY26.
The company is listed on the National Stock Exchange (NSE) and Bombay Stock Exchange (BSE).
