CCI Approves Merger of Girnar Group Entities into Artivatic Data Labs for Enhanced Operations

The Competition Commission of India (CCI) has approved the merger of four entities from the Girnar group into Artivatic Data Labs. These entities include Girnar Finserv, Girnar Insurance Brokers, D2C Consulting Services, and RB Info Services. Girnar Software Pvt Ltd, which manages platforms like CarDekho and BikeDekho, controls Girnar Finserv and Girnar Insurance.

Girnar Insurance operates InsuranceDekho, an online platform with a composite broking licence from the Insurance Regulatory and Development Authority of India (IRDAI). The merger agreement was signed on 12th May 2025. This move will see these entities merge into Artivatic Data Labs, as per the framework agreement.

Merger Details and Platforms Involved

D2C Consulting Services, D2C Insurance Broking, and RB Info Services manage the RenewBuy platform. This platform facilitates access to insurance and financial products via a network of digital advisors. Artivatic Data Labs offers IT services related to insurance, including API-based and SaaS solutions for underwriting and claims assistance.

In another development, CCI has approved Creador's proposal to acquire a stake in La Renon Healthcare. Creador, based in Kuala Lumpur, is acquiring this stake through its affiliate Rajadhiraja Ltd. The acquisition involves a shareholding in La Renon Healthcare Pvt Ltd by Rajadhiraja Ltd.

Acquisition in the Pharmaceutical Sector

Rajadhiraja Ltd is a special purpose vehicle owned by Creador VI LP. Currently, it does not engage in any direct business activities in India. La Renon Healthcare Pvt Ltd operates in the pharmaceutical sector. It is involved in manufacturing and distributing pharmaceutical drugs, nutraceuticals, dietary supplements, and active pharmaceutical ingredients.

The CCI's approval marks a significant step for both the Girnar group merger and Creador's acquisition plans. These developments highlight ongoing changes within the insurance and pharmaceutical sectors in India.
